23 Ainsworth Lane*Sicklerville*N.J.*08081 (856) 875-2111 EQUIPMENT PROTECTION PLAN Terms and Conditions What This Protection Plan Covers and For How Long: In the event of defects in workmanship or components under normal use and service, Becker Audio Video, Inc.(hereafter referred to as "BAV"), at its option, will, at the location listed on signed plan, and at no charge to you, either repair or replace the defective component(s) of your multiline telephone system listed on signed plan for a period of one year. Repair, at BAV’s option, may include the replacement of parts with functionally equivalent reconditioned or new parts. All replaced parts shall become property of BAV. The Equipment Protection Plan is made available by BAV solely to the original buyer or lessee and is not assignable or transferable to subsequent buyers or lessees. BAV assumes no obligation or liability for additions or modifications to this Equipment Protection Plan unless made in writing and signed by an officer of BAV. BAV can not be responsible for ancillary equipment not listed on the sign plan which is attached to or used in conjunction with your multiline telephone equipment, or for the proper operation of the multiline telephone equipment with any ancillary equipment not covered by this agreement. Such equipment is expressly excluded from this Equipment Protection Plan. What This Equipment Protection Plan Does Not Cover: (a)Defects or damage resulting from the use of the product in other than its normal and customary manner; (b) Defects or damage from abuse, misuse, accident or neglect including damage to connectors; (c)Defects or damage from improper or unauthorized testing, operation, maintenance, installation, alterations, modifications, or adjustments; (d)Cords;(e) Products disassembled or repaired in such a manner as to adversely affect performance or prevent adequate inspection and/or testing to verify any claim;(f) Products which have serial numbers removed or made illegible;(g) Rechargeable batteries;(h)Defects or damage due to flood, fire, lightning, leakage or spills of foods or liquids;(i)Equipment and service provided by local telephone utility. BAV Response Time: A. With respect to a major malfunction of the equipment(defined as at least 50% failure of incoming and outgoing telephone service not caused by the local telephone utility provided service), BAV will respond with in eight business hours from the time BAV first receives the customers request for service and will complete such repairs as soon as reasonable practicable. "Business hours" are defined as the hours of a business day, Monday thru Friday, 9 am to 5pm, holidays excluded. B. With respect to a minor malfunction of the equipment( any malfunction other than a major) BAV will respond with 48 business hours from the first time that BAV receives the customer’s request for service and will complete repairs as soon as reasonably practicable. Limitations and Liability: This agreement sets forth our responsibility regarding these products. Repair or replacement at BAV’s option, is your exclusive remedy. In no event shall BAV be liable for damages in excess of the total payment mad by you for the Equipment Protection Plan, for any loss of use, loss of time, inconvenience, commercial loss, lost profits or savings or other incidental, special, or consequential damages arising out of the use or inability to use the multiline telephone equipment to the full extent such may be disclaimed by law. Excusable Delays: BAV does not assume or shall BAV have any liability under this agreement for failure to provide service for the equipment due to direct or indirectly, caused beyond their control, including but not limited to: acts of God, acts of the public enemy, acts of federal, provincial, municipal, or other governmental authorities, acts of failure to act of the customer, its agents, employees or subcontractors, fires, floods, epidemics, quarantine restrictions, strikes, labor troubles, freight embargoes, or usually severe weather conditions. Assignment: BAV may assign, subcontract or transfer whole or in part any of its interests, rights or obligations under this agreement. Any subcontractor authorized by BAV performing service hereunder will be subject to the same terms and conditions set forth herein. How To Get Equipment Protection Plan Services: To receive services, contact a BAV Service Representative at the telephone listed above the signed plan. General: (a) Customer acknowledges that he/she has read and understands these terms and agrees to be bound by them; that is the complete and conclusive statement of the Agreement between all parties and supersedes all proposals or prior agreements, oral or written, and all other communications between parties relating to the subject matter hereof; (b) No modifications hereof shall be binding upon BAV unless such modification is in writing and signed by a duly authorized representative of BAV;(c) If any provision of the agreement shall be invalid, illegal or unenforceable, the other provisions shall not be in any way affected or impaired thereby;(d) This document and the rights and duties of the parties shall be governed and interpreted in accordance with the laws of the state of New Jersey and Pennsylvania. Either Party may cancel this agreement :Upon thirty (30) days written prior notice. A pro-rata refund will be issued upon the thirty days(30) prior written notice by either party.
